Terms & Conditions of the Online Store

§1 General Provisions
- These Terms and Conditions (hereinafter "Terms") set out the rules for using the online store operated at minoti.com, including the rules for concluding sales contracts, processing orders, making payments, arranging delivery, exercising the right of withdrawal, submitting complaints, and processing personal data.
- The online store is operated by Minoti Spółka z Ograniczoną Odpowiedzialnością (hereinafter "Seller"), a company registered in Poland under KRS number 0000785854, with its registered office at ul. Grochowska 306/308, 03-844 Warsaw, Poland.
- These Terms are made available free of charge on the store's website in a format that allows them to be downloaded, saved, and printed.
- By placing an order or using the online store, the Customer confirms that they have read and agree to be bound by these Terms.
- To use the store, the Customer requires a device with internet access and an active e-mail address. No specific software beyond a standard web browser is required.
- The Seller ensures that the online store operates in compliance with applicable EU consumer protection legislation, including in particular: Directive 2011/83/EU on consumer rights, Directive 2019/771 on contracts for the sale of goods, and Regulation (EU) 2016/679 (GDPR).

§3 Definitions
The following terms used in these Terms shall have the meanings set out below:
- Store — the online store operated by the Seller and accessible at minoti.com.
- Customer — any natural person, legal person, or organisational unit without legal personality that has concluded or intends to conclude a Sales Contract with the Seller via the Store.
- Consumer — a Customer who is a natural person and who is acting for purposes that are outside their trade, business, craft, or profession.
- Product / Goods — a movable item available in the Store that is the subject of a Sales Contract between the Customer and the Seller.
- Sales Contract — a contract for the sale of a Product, concluded or to be concluded between the Customer and the Seller via the Store in accordance with these Terms.
- Order Form — an interactive electronic form available in the Store by means of which the Customer places an Order, including in particular the selection of Products and the method of payment and delivery.
- Order — a declaration of intent submitted by the Customer via the Order Form, constituting a binding offer to conclude a Sales Contract with the Seller.
- Customer Account — an individual account created in the Store, secured with a login and password, which enables the Customer to use additional features of the Store.
- Working day — any day from Monday to Friday, excluding public holidays in Poland.
§4 Account Registration
- Registration of a Customer Account is not a condition for placing an order in the Store. The Customer may place an order without registering an account (guest checkout).
- Account registration requires the Customer to provide: their first name, last name, e-mail address, and a password.
- The Customer undertakes to provide information that is accurate, current, and complete, and to update it promptly if it changes.
- The Customer is responsible for maintaining the confidentiality of their account password. The Seller will not be liable for any damage resulting from unauthorised access to the Customer's account where the Customer has failed to maintain the security of their login credentials.
- The Customer may request deletion of their account at any time by sending a request to cs@minoti.com. Deletion of the account does not affect any Sales Contracts concluded prior to the deletion.
- The Seller reserves the right to suspend or delete the account of a Customer who breaches these Terms, provided that the Customer is notified in advance and given a reasonable opportunity to remedy the breach.
§5 Placing and Processing Orders
- Orders may be placed via the Store 24 hours a day, 7 days a week, throughout the year, subject to any technical maintenance periods of which the Customer will be informed in advance where possible.
- An order is placed by the Customer by: selecting the Products, completing the Order Form, confirming acceptance of these Terms and the Privacy Policy, and clicking the "Order and pay" button or equivalent. Clicking this button constitutes a binding offer to purchase the selected Products.
- Before placing an order, the Customer is required to read and confirm acceptance of these Terms. The Sales Contract is concluded at the moment the Seller sends an order confirmation to the Customer's e-mail address.
- The order confirmation e-mail constitutes the Seller's acceptance of the Customer's offer and confirmation of the conclusion of the Sales Contract. It will include a summary of the order (products, quantities, prices, delivery method, and estimated delivery date).
- The Seller reserves the right to refuse to fulfil an order where: the Customer has provided inaccurate or incomplete information; the ordered Products are not available in stock; or there is reasonable suspicion of fraudulent activity. In such cases, the Seller will notify the Customer by e-mail without delay, and any payment already made will be refunded in full.
- The standard order processing time — from payment confirmation to dispatch of the parcel — is 1 to 3 working days. During peak periods (e.g. holiday seasons or sales), processing times may be longer. The Customer will be informed of any significant delays.
- A Customer who wishes to cancel an order that has not yet been dispatched should contact the Seller at cs@minoti.com as soon as possible. Once an order has been dispatched, cancellation is no longer possible, but the Customer retains the right to return the goods under the returns policy.
§6 Prices and Payment
- All prices displayed in the Store are gross prices inclusive of Value Added Tax (VAT) at the applicable rate. Prices are displayed in the currency applicable to the Customer's country of delivery, as shown at checkout.
- Prices do not include delivery costs, which are shown separately at checkout and depend on the Customer's chosen delivery method and destination country.
- The Seller reserves the right to change prices, introduce promotional prices, and withdraw promotional offers at any time. Any such changes will not affect orders that have already been confirmed.
- The following payment methods are accepted in the Store:
- Credit and debit cards: Visa, Mastercard, American Express, Maestro, UnionPay
- Digital wallets: Apple Pay, Google Pay, PayPal, Shop Pay
- Buy now, pay later: Klarna
- Local payment methods: BLIK (Poland), Bancontact (Belgium), iDEAL / Wero (Netherlands), Przelewy24 (Poland)
- Payment is due at the time of placing the order. If payment is not received within 3 working days of the order being placed (where the chosen payment method requires a separate bank transfer), the Seller reserves the right to cancel the order, in which case the Customer will be notified by e-mail.
- The Seller issues a proof of purchase (receipt or VAT invoice) for each order and delivers it in electronic form to the Customer's e-mail address.
- All payment transactions are processed securely by our payment service providers. The Seller does not store or have access to the Customer's full payment card details.
§7 Delivery
- Delivery is available to Poland and to selected European Union member states. The list of available destination countries and applicable delivery charges is displayed during the order process.
- The following delivery methods are available (subject to availability in the Customer's country):
- Courier delivery to the specified address
- InPost Parcel Locker (Poland)
- Other courier or parcel services displayed at checkout
- Delivery costs are calculated and shown at checkout, based on the Customer's chosen delivery method and destination. The Seller may offer free delivery above a specified order value, as communicated on the Store's website.
- The estimated delivery time is 1 to 5 working days from the date of dispatch, depending on the destination country and chosen delivery method. These are estimates only and do not constitute a binding delivery deadline unless expressly agreed otherwise.
- Risk of loss or damage to the goods passes to the Customer at the moment the Customer or a third party designated by the Customer (other than the carrier) takes physical possession of the goods. The Seller recommends that the Customer inspect the parcel upon delivery and note any visible damage on the carrier's delivery document.
- If the Customer fails to collect the parcel within the carrier's holding period, the parcel will be returned to the Seller. In such cases, the Seller may: re-dispatch the order at the Customer's cost; or cancel the order and refund the product price, excluding original delivery charges.
- The Seller is not liable for delivery delays caused by circumstances beyond its reasonable control, including but not limited to carrier delays, customs clearance, or force majeure events.
§8 Right of Withdrawal and Returns
Full details of the right of withdrawal and the returns procedure are set out in the Returns & Complaints Policy, which forms an integral part of these Terms and is available on our website. The key points are summarised below:
- Consumers have the right to withdraw from a Sales Contract within 30 days of receiving the goods, without giving any reason (statutory EU minimum: 14 days under Directive 2011/83/EU).
- To exercise this right, the Consumer must send an unequivocal statement to cs@minoti.com before the expiry of the withdrawal period.
- Goods must be returned to the Seller's returns warehouse (DTWL, ul. Sochaczewska 98C, 05-870 Błonie, Poland) within 14 days of the withdrawal notice.
- The Seller will reimburse all payments received from the Consumer, including standard delivery costs, within 14 days of receiving the returned goods or evidence of return.
- The Consumer bears the direct cost of returning the goods unless the Seller has expressly agreed otherwise.
- The right of withdrawal does not apply to personalised goods or sealed hygiene products where the seal has been broken after delivery.
§9 Complaints and Legal Guarantee
- The Seller is liable to the Consumer for any lack of conformity of the goods with the Sales Contract, in accordance with EU Directive 2019/771 and applicable national law.
- Consumers are entitled to a 2-year legal guarantee against defects, running from the date the goods were delivered. During the first 12 months, any lack of conformity is presumed to have existed at delivery.
- Complaints may be submitted by e-mail to cs@minoti.com, including the Customer's name, order number, description of the defect, and the Customer's preferred remedy (repair, replacement, price reduction, or refund).
- The Seller will process the complaint and notify the Customer of its decision within 14 calendar days of receiving the complaint. Failure to respond within this period is deemed acceptance of the complaint.
- The Customer's statutory guarantee rights are independent of any voluntary manufacturer's guarantee.

§10 Personal Data Protection (GDPR)
- The controller of personal data collected in connection with the use of the Store is Minoti Sp. z o.o., ul. Grochowska 306/308, 03-844 Warsaw, Poland (KRS: 0000785854, NIP: 1132998007).
- Personal data are collected and processed for the following purposes: fulfilment of Sales Contracts (legal basis: Art. 6(1)(b) GDPR); compliance with legal obligations, including tax and accounting requirements (legal basis: Art. 6(1)(c) GDPR); and, with the Customer's separate consent, direct marketing (legal basis: Art. 6(1)(a) GDPR).
- Customers have the following rights in relation to their personal data: the right of access; the right to rectification; the right to erasure ("right to be forgotten"); the right to restriction of processing; the right to data portability; and the right to object to processing.
- To exercise any of the above rights, the Customer may contact us at cs@minoti.com.
- Customers have the right to lodge a complaint with the competent data protection supervisory authority in their country of residence. In Poland, the supervisory authority is the President of the Personal Data Protection Office (UODO), ul. Stawki 2, 00-193 Warsaw.

§11 Intellectual Property
- All content published on the Store's website — including but not limited to text, photographs, graphics, logos, product descriptions, and software — is the property of the Seller or its licensors and is protected by applicable intellectual property laws.
- The Customer may not reproduce, distribute, modify, or commercially exploit any content from the Store without the prior written consent of the Seller.
- Product names, brand names, and trademarks displayed on the Store belong to their respective owners.
§12 Out-of-Court Dispute Resolution
- The Seller informs Consumer Customers of the availability of out-of-court means of resolving complaints and pursuing claims.
- Consumers may use the EU Online Dispute Resolution (ODR) platform, accessible at ec.europa.eu/consumers/odr, which provides a single access point for resolving disputes arising from online transactions between consumers and traders in the EU.
- Consumers may also seek assistance from: an accredited ADR body in their country of residence; a local or national consumer protection authority; or the Polish Trade Inspection (Inspekcja Handlowa).
- The Seller's e-mail address for ODR purposes: cs@minoti.com.
- Use of out-of-court dispute resolution is voluntary and does not affect the right to bring court proceedings.
§13 Final Provisions
- In matters not regulated by these Terms, the provisions of applicable Polish law and EU legislation shall apply, including in particular: the Civil Code (Kodeks cywilny), the Act on Consumer Rights (ustawa o prawach konsumenta), the Act on the Provision of Electronic Services (ustawa o świadczeniu usług drogą elektroniczną), and the GDPR.
- For Consumers, the competent court for resolving disputes shall be determined by the general rules of civil procedure. Disputes with business customers (non-Consumers) shall be resolved by the court with jurisdiction over the Seller's registered office.
- The Seller reserves the right to amend these Terms. Any amendments will be communicated to registered Customers by e-mail at least 14 days before the amendments take effect. Orders placed before the effective date of any amendment will be fulfilled under the Terms in force at the time of the order.
- These Terms are effective from 5 April 2026 and supersede all previous versions.
- These Terms are available in English. In the event of any inconsistency between language versions, the English version shall prevail for customers outside Poland.
