§1. GENERAL PROVISIONS
These Terms and Conditions (hereinafter "Terms") govern the use of the online store operated at minoti.com, including placing orders, payment, delivery, returns and complaints. The store is operated by Minoti Sp. z o. o., ul. Grochowska 306/308, 03-844 Warsaw, Poland (KRS: 0000785854, NIP: 1132998007). These Terms are available free of charge on the store's website in a format that allows downloading, saving and printing. By placing an order the Customer confirms that they have read and accept these Terms. The store operates in compliance with EU consumer protection legislation, including Directive 2011/83/EU on consumer rights, Directive 2019/771 on sale of goods, Directive 2019/2161 (Omnibus Directive) and Regulation (EU) 2016/679 (GDPR).

§3. DEFINITIONS
- Store — the online store at minoti.com.
- Customer — any person concluding or intending to conclude a contract with the Seller via the Store.
- Consumer — a Customer who is a natural person acting outside their trade or profession.
- Product / Goods — a movable item available in the Store.
- Sales Contract — a contract for the sale of a Product concluded via the Store.
- Order — the Customer's binding offer to purchase selected Products.
- Customer Account — an individual account in the Store secured by login and password.
- Working day — Monday to Friday, excluding public holidays in Poland.
§4. ACCOUNT REGISTRATION
Account registration is not required to place an order. Guest checkout is available. Registration requires: first name, last name, e-mail address and a password. The Customer must provide accurate information and update it promptly. The Customer is responsible for the confidentiality of their password. The Seller is not liable for unauthorised access resulting from the Customer's failure to safeguard their credentials. Account deletion may be requested at any time by e-mailing cs@minoti.com. Deletion does not affect previously concluded contracts.
§5. PLACING AND PROCESSING ORDERS
Orders may be placed 24/7, subject to scheduled maintenance. An order is placed by selecting Products, completing the order form, accepting these Terms and clicking "Order and pay". The Sales Contract is concluded when the Seller sends an order confirmation e-mail. This confirmation constitutes acceptance of the Customer's offer. The Seller may refuse an order where: information is inaccurate; stock is unavailable; or there is a reasonable suspicion of fraud. Any payment received will be refunded in full. Orders placed and paid before 14:00 on a working day are dispatched the same day. Orders placed after 14:00, at weekends or on public holidays are dispatched on the next working day. To cancel an order that has not yet been dispatched, contact cs@minoti.com as soon as possible.
§6. PRICES AND PAYMENT
All prices are gross prices inclusive of VAT. Prices are displayed in the currency applicable to the Customer's delivery country. Delivery costs are shown separately at checkout. Price reductions: where a price reduction is advertised, the Store displays the lowest price that applied during the 30 days prior to the reduction, in accordance with the Omnibus Directive (Directive 2019/2161). The Seller reserves the right to change prices and introduce or withdraw promotions at any time. Changes do not affect orders already confirmed. Accepted payment methods: Visa, Mastercard, American Express, Maestro, UnionPay, Apple Pay, Google Pay, PayPal, Shop Pay, Klarna, BLIK (PL), Bancontact (BE), iDEAL / Wero (NL), Przelewy24 (PL). Payment is due at the time of order. If payment by bank transfer is not received within 3 working days, the Seller may cancel the order. A proof of purchase (receipt or VAT invoice) is issued electronically for each order. The Seller does not store full payment card details.
§7. DELIVERY
Delivery is available to Poland and selected EU member states. Available destinations and charges are displayed at checkout. Available delivery methods (subject to country): courier delivery (DHL), InPost Paczkomat (Poland), and other methods shown at checkout. Free delivery may be available above a specified order value, as communicated on the website. Estimated delivery time: 1 to 5 working days from dispatch, depending on destination and delivery method. These are estimates and do not constitute a binding deadline. Risk of loss or damage passes to the Customer upon physical possession of the goods. The Seller recommends inspecting the parcel upon delivery. If the Customer fails to collect within the carrier's holding period, the Seller may re-dispatch at the Customer's cost or refund the product price (the carrier's return-to-sender fee may be charged).
§8. RIGHT OF WITHDRAWAL AND RETURNS
Full details are set out in the Returns & Complaints Policy, which forms an integral part of these Terms. Consumers may withdraw from the Sales Contract within 30 calendar days of receiving the goods, without giving any reason (statutory EU minimum: 14 days). To exercise this right, the Consumer must send an unequivocal statement to cs@minoti.com before the withdrawal period expires. Goods must be returned to: DTWL, ul. Sochaczewska 98C, 05-870 Błonie, Poland within 14 days of the withdrawal notice. The Seller will refund all payments, including standard delivery costs, within 14 days of receiving the returned goods. The Consumer bears the direct cost of returning the goods. Withdrawal does not apply to personalised goods or sealed hygiene products where the seal has been broken after delivery.
§9. COMPLAINTS AND LEGAL GUARANTEE
The Seller is liable for any lack of conformity of the goods with the contract, in accordance with Directive 2019/771 and applicable national law. The Consumer benefits from a 2-year legal guarantee. During the first 12 months, any lack of conformity is presumed to have existed at delivery. Complaints may be submitted to cs@minoti.com with: the Customer's name, order number, description of the defect, and preferred remedy (repair, replacement, price reduction or refund). The Seller will respond within 14 calendar days. Failure to respond within this period is deemed acceptance of the complaint.
§10. PRODUCT REVIEWS
The Store publishes product reviews submitted by customers. We verify that reviews originate from customers who purchased the product by linking reviews to confirmed orders. Reviews are not moderated for content other than the removal of offensive language, personal data or content unrelated to the product. All genuine reviews, including negative ones, are published. Reviews are not sponsored and no compensation is offered in exchange for reviews.
§11. PERSONAL DATA PROTECTION
The controller of personal data is Minoti Sp. z o. o.. Data are processed for contract fulfilment (Art. 6(1)(b) GDPR), legal obligations (Art. 6(1)(c)), legitimate interests (Art. 6(1)(f)), and with consent for marketing (Art. 6(1)(a)). §12. INTELLECTUAL PROPERTY
All content on the Store's website — including text, photographs, graphics, logos and software — is the property of the Seller or its licensors and is protected by applicable intellectual property laws. Reproduction, distribution or commercial exploitation of any content without prior written consent is prohibited.
§13. OUT-OF-COURT DISPUTE RESOLUTION
Consumers may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr. Consumers may also seek assistance from an accredited ADR body, local consumer protection authority or the Polish Trade Inspection (Inspekcja Handlowa). The Seller's e-mail for ODR purposes: cs@minoti.com. Use of out-of-court resolution is voluntary.
§14. FINAL PROVISIONS
Matters not regulated by these Terms are governed by applicable Polish law and EU legislation. For Consumers, the competent court is determined by general rules of civil procedure. For business customers, disputes are resolved by the court with jurisdiction over the Seller's registered office. The Seller may amend these Terms. Registered Customers will be notified by e-mail at least 14 days before amendments take effect. Orders placed before the effective date are fulfilled under the previous Terms. These Terms are effective from 21 May 2026.
